Fiduciarinių pareigų instituto kilmė, esmė ir recepcija

LTŠiame straipsnyje siekiama atskleisti fiduciarinių pareigų instituto raidą ir perėmimą bei nustatyti esminius šių pareigų skiriamuosius bruožus ir savybes. Straipsnyje atliekama istorinė ir lyginamoji analizė, kuri padeda moksliškai paaiškinti, kaip šis, į Lietuvos teisę perkeltas, institutas atsirado, vystėsi ir buvo aiškinamas kilmės jurisdikcijose ir kaip jis pradėtas universaliai perimti kitose šalyse. Remiantis atlikta teorine analize siekiama įvertinti šiuo metu esamą fiduciarumo koncepcijos aiškinimą Lietuvoje ir padėti suformuluoti doktrininius pagrindus tolesnei fiduciarinių pareigų instituto raidai Lietuvos teisėje. ENThe aim of this article is to analyze the evolution and reception of the institution of fiduciary duties and to identify core distinctive attributes and characteristics of these duties. For this purpose, the article starts with a historical and legal analysis in order to scholarly explain how this institution, which was transplanted also into Lithuanian law, emerged, developed, was interpreted in its origin jurisdictions and started to be universally recepted in other countries. Based on this analysis, conclusions about the essence of fiduciary duties are made: according to the genuine (pure) model of fiduciary duties, these duties can arise only in very specific cases where risk arises out of disloyal actions of a fiduciary in respect to assets or powers entrusted to him; these duties can exist only inter partes; they must be enforced by specific civil remedies.
