Įmonių valdymas Europos bendrovių teisės reformos kontekste

LTŠiame straipsnyje aptariami aktualus juridinių asmenų valdymo (angį. - cor-porate governance) aspektai. Tema yra aktuali, nes šiuo metu Europos teisės lygmeniu vyksta įmonių teisės reforma. Todėl neatsitiktinai apžvelgiama ne tik Europos Sąjungos (toliau - ES) įmonių valdymo teisinė bazė, bet ir valstybių narių šiuolaikiniai juridinių asmenų valdymo bruožai bei tendencijos. Mat, Lietuvai įsitraukiant į ES rinką, atsiranda naujų verslo partnerių, {didesnę rinką išėjusios Lietuvos įmonės stengsis plėstis, pritraukti naujų investuotojų. Siekiant sėkmingo bendradarbiavimo, teisingų investicinių sprendimų, reikia turėti vieną bendrą įmonės valdymo sampratą. Taip pat svarbu nustatyti, kokia šiuo metu yra įmonių teisės būklė, ir pabandyti įvertinti kai kuriuos juridinių asmenų valdymo klausimus. Tik išanalizavus bazinius įmonių teisės teorinius bei praktinius aspektus, galima diskutuoti apie įmonių valdymo Lietuvoje tobulinimą. [Iš leidinio]The article deals with principle issues of company law in the context of the current reform and harmonization of company law in Europe. Corporate governance is one of such issues. Corporate governance relates to the internal organization and power strucrure of the firm, the functioning of the board of directors both in the one-tier and the two-tier system, the ownership structure of the firm, and the interrelationships among management board, shareholders, and other stakehol-ders, in particular the company's workforce and its creditors. Comparative corporate governance research may bring forth new insights that research conducted only with one system may fail to produce. Analysis of one the most successful economy - Europe - seems to be a natūrai starting poit for such research. Yet so far we have only little knowledge of how such complex system actually work. Consequently, the ability to give welfare-enhancing recommendations is still poor and needs sub-stantial improvement.
