Bendrovių valdymo kodeksų reikšmė ir įgyvendinimo praktika Lietuvoje

LTStraipsnyje tiriama, kokią įtaką ekonomikai ir socialiniams procesams turi korporatyvinio valdymo kultūra ir valdymo kokybė. Nurodoma bendrovių valdymo kodeksų taikymo reikšmė ir jų istorinė raida. Kodeksai padeda įgyvendinti gerąją bendrovių valdymo praktiką, taikomą ir pasiteisinusią kitose valstybėse. Tyrimo tikslas - nagrinėjant bendrovių parengtus ir skelbiamus metinius pranešimus, įvertinti, kaip valdymo kodeksų principų įgyvendinimas didina Vilniaus vertybinių popierių biržoje listinguojamų bendrovių veiklos skaidrumą, akcininkų interesų apsaugą ir keičia vertybių sistemą. Tyrimo rezultatai rodo, kad kodeksų skelbimas turi teigiamą poveikį bet esminiai veiklos skaidrumą užtikrinantys principai lieka neįgyvendinti. ENThe article analysis the impact of corporate management culture and the quality of management on economic and social processes. It reveals the importance of the application of corporate management codes and their historical development. Codes contribute to the implementation of good corporate governance practices applied and approved in other countries. The objective of the study is to evaluate how the implementation of management code principles increases the transparency, the protection of the interests of stockholders, and the change of the system of values in companies listed at Vilnius Stock Exchange by analysing their prepared and disclosed annual reports. The results suggest that codes have a positive impact, but the essential principles of ensuring transparency remain unimplemented.
